These Terms of Use ("Terms") govern your access to and use of the Pest Camp website, proposal builder, related pages, content, tools, software, beta features, and related services (collectively, the "Services"). The Services are operated by High Bridge Trading Company, doing business as Pest Camp ("Pest Camp," "we," "us," or "our").

 

By accessing or using the Services, you agree to these Terms. If you do not agree, do not access or use the Services.

 

1. Eligibility and Authority

 

You represent and warrant that:

 

- you are at least 18 years old;

- you have the legal capacity to enter into these Terms; and

- if you use the Services on behalf of a company or other organization, you have authority to bind that entity to these Terms.

 

2. Nature of the Services

 

Pest Tools provides proposal-building, document-generation, workflow, and related website features for business and operational use. Features may include pricing tools, line-item builders, document templates, proposal previews, file generation, storage integrations, and other functions we add, remove, test, or revise from time to time.

 

3. Beta and Testing Status

 

The Services are in an active testing and development phase. Features may be incomplete, unstable, changed without notice, temporarily unavailable, or removed entirely. We may add, suspend, limit, or discontinue any feature, integration, page, workflow, or content at any time, with or without notice.

 

You understand and agree that:

 

- outputs may contain errors, omissions, formatting issues, or calculation issues;

- data fields, templates, pricing logic, exports, and integrations may change during testing;

- no service level, uptime, response time, preservation, or release schedule is guaranteed; and

- you are solely responsible for reviewing all generated content before relying on it, sharing it, or sending it to any customer or third party.

 

4. Account and Access Responsibilities

 

If account, member, login, or access-controlled features are enabled, you are responsible for:

 

- maintaining the confidentiality of your credentials;

- restricting unauthorized access to your account and devices;

- ensuring that information you submit is accurate and current; and

- promptly notifying us at [CONTACT EMAIL] if you suspect unauthorized access, misuse, or a security issue.

 

You are responsible for all activity occurring through your account or credentials unless prohibited by applicable law.

 

5. User Content and Business Data

 

You may submit or generate data through the Services, including names, phone numbers, email addresses, company information, proposal details, measurements, selected items, pricing, notes, document text, and related business records ("User Content").

 

You retain ownership of your User Content, subject to any rights needed for us to operate the Services. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify, transmit, and otherwise process User Content solely as reasonably necessary to operate, secure, improve, troubleshoot, support, and provide the Services, and to comply with law.

 

You are solely responsible for:

 

- the legality, accuracy, quality, and sufficiency of your User Content;

- obtaining all rights, notices, and permissions needed to collect and use personal information you submit through the Services;

- verifying all pricing, descriptions, measurements, contract terms, scope statements, and customer-facing outputs before use; and

- complying with all laws, regulations, licensing rules, advertising rules, and recordkeeping requirements applicable to your business.

 

6. Acceptable Use

 

You may not use the Services to:

 

- violate any law or regulation;

- infringe, misappropriate, or violate any person's rights;

- upload malicious code, spyware, ransomware, or other harmful material;

- interfere with the operation, integrity, or security of the Services;

- attempt to gain unauthorized access to systems, accounts, or data;

- scrape, harvest, or extract data except as expressly authorized by us;

- use the Services to create misleading, fraudulent, deceptive, defamatory, or unlawful content;

- use the Services in connection with emergency, life-safety, medical, or other high-risk activities where errors could cause harm; or

- reverse engineer, decompile, disassemble, or attempt to derive source code from the Services except to the extent such restriction is prohibited by law.

 

7. Third-Party Services and Integrations

 

The Services may rely on or connect with third-party platforms, infrastructure, APIs, or software, including hosting, membership, analytics, storage, document-generation, or productivity tools. Based on the current implementation, these may include Wix services and Google services such as Google Sheets, Google Docs, and Google Drive.

 

We do not control third-party services and are not responsible for their acts, omissions, availability, accuracy, security, policies, or performance. Your use of third-party services may also be governed by separate third-party terms and policies.

 

8. Intellectual Property

 

The Services, including the software, design, structure, arrangement, branding, text, graphics, logos, compilations, and all related intellectual property rights, are owned by or licensed to Pest Tools and are protected by applicable law.

 

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for your internal business use. No other rights are granted.

 

9. Feedback

 

If you provide suggestions, ideas, comments, bug reports, or other feedback regarding the Services, you grant us a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free right to use, copy, modify, and exploit that feedback for any lawful purpose without restriction or compensation.

 

10. Service Changes, Suspension, and Termination

 

We may monitor, suspend, restrict, or terminate access to the Services, in whole or in part, at any time, with or without notice, for security reasons, operational reasons, legal reasons, misuse, nonpayment if applicable, or any other legitimate business reason.

 

We may delete, archive, or disable access to data after suspension or termination, subject to our legal obligations and retention practices.

 

11. No Backup or Preservation Guarantee

 

You are responsible for maintaining your own copies and backups of any important data, documents, records, proposals, and outputs. We do not guarantee that any content, settings, integrations, generated files, records, or history will be available, preserved, recoverable, or error-free.

 

12. Disclaimers

 

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEST TOOLS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AVAILABILITY, ACCURACY, AND THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

 

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

 

- any proposal, document, export, PDF, calculation, price, or output is correct, complete, enforceable, or suitable for your use;

- any generated content complies with consumer-protection, contract, licensing, accessibility, advertising, privacy, or industry-specific requirements;

- any defect will be corrected; or

- any third-party integration will remain available or function as expected.

 

13. Limitation of Liability

 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEST TOOLS AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AFFILIATES, SUCCESSORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF PEST TOOLS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

 

- the amount you paid us for the Services during the 12 months before the event giving rise to the claim; or

- US $100.00.

 

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

 

14. Indemnification

 

You agree to defend, indemnify, and hold harmless Pest Tools and its owners, officers, directors, employees, contractors, licensors, affiliates, successors, and agents from and against any claims, demands, actions, proceedings, damages, judgments, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

 

- your use of the Services;

- your User Content;

- your violation of these Terms; or

- your violation of any law or any third-party right.

 

15. Governing Law and Venue

 

These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-law rules. Unless applicable law requires otherwise, any dispute arising out of or relating to these Terms or the Services must be brought exclusively in the state or federal courts located in [COUNTY], [STATE], and you consent to the personal jurisdiction and venue of those courts.

 

16. Changes to These Terms

 

We may update these Terms from time to time. Updated Terms become effective when posted, unless a later date is stated. Your continued use of the Services after updated Terms are posted constitutes your acceptance of the updated Terms.
